The model articles of association establish a company’s constitution, setting out the internal rules that its directors and members must follow. Every UK company must have articles of association.
Different model articles are available for private companies limited by shares, private companies limited by guarantee and public companies. For many straightforward companies the model articles are suitable, although bespoke provisions may be appropriate where the ownership or governance is more complex.
What is included in the model articles of association?
The model articles cover areas such as directors’ powers and decision-making, shares and distributions, member decisions and the company’s administrative arrangements.
When should I adopt bespoke articles?
Bespoke articles can be useful where a company has multiple share classes, restrictions on share transfers, additional director powers or other arrangements that are not well covered by the standard model articles.

Changing the articles
Members can usually amend the articles by passing a special resolution. Companies House must then receive the relevant resolution and, where required, the amended articles.
