What does unlimited liability mean?

It means the members do not benefit from the same cap on liability that shareholders in a normal limited company usually have. If the company is wound up with insufficient assets, members may be required to contribute without a fixed limit.

Is an unlimited company suitable for most businesses?

No. Most trading businesses choose a limited company. An unlimited company is a specialist structure and should be used where there is a clear reason for doing so.

Does an unlimited company still have directors?

Yes. It remains a company registered at Companies House. The unlimited feature concerns the liability of its members rather than removing the normal company structure.

Does an unlimited company always have to file accounts publicly?

No, but any exemption is conditional. Some unlimited companies must still deliver accounts depending on their ownership, group structure or activities.

Are standard model articles available for an unlimited company?

Companies House does not publish dedicated model articles for unlimited companies. The constitution needs particular care and must not contain provisions that limit the members’ liability.

Can an existing limited company become unlimited?

In certain circumstances a private limited company can re-register as unlimited. This requires the agreement of all members and appropriately amended articles.
